THE STACK LOYALTY PROGRAM TERMS AND CONDITIONS

Effective May 13, 2025

PLEASE READ CAREFULLY. By enrolling in this program, you (the "Participant") agree that you have read, understood and agree to be bound by these Stack Loyalty Program Terms and Conditions ("Loyalty Terms") and by any changes or modifications we may make at any time, in our sole discretion and without prior notice to you. We encourage you to review these Loyalty Terms and the related policies frequently to understand the terms and conditions that apply to the Program, as we may change, limit and/or eliminate the Program, all or any portion of these Loyalty Terms, and/or any other policy that applies to the Program from time to time, in our sole discretion, subject to applicable law, and we will make reasonable efforts to notify Participants of material changes.

By enrolling in the Program, you also agree to be bound by our Privacy Policy and Maison Miru's Terms of Use (the "Company Terms"), which are incorporated herein by reference.

THE COMPANY TERMS INCLUDE IMPORTANT PROVISIONS THAT AFFECT YOUR LEGAL RIGHTS, INCLUDING A MANDATORY BINDING ARBITRATION CLAUSE, A WAIVER OF YOUR RIGHT TO A JURY TRIAL, AND A WAIVER OF YOUR RIGHT TO PARTICIPATE IN ANY CLASS ACTION OR REPRESENTATIVE PROCEEDING. BY PARTICIPATING IN THE LOYALTY PROGRAM, YOU AGREE TO BE BOUND BY THOSE PROVISIONS. PLEASE SEE THE DISPUTES CLAUSE IN SECTION 10 BELOW FOR MORE INFORMATION.

All capitalized terms used but not defined in these Loyalty Terms will have the meanings given in the Company Terms. If you do not agree to these Loyalty Terms, our Privacy Policy, and our Company Terms, you cannot participate in the Program. The Program is void where prohibited by law.

1. Overview of the Stack Rewards Program

The Stack Rewards Program (the "Program") is a loyalty program offered at the sole discretion of Maison Miru LLC ("Maison Miru," "we," "our" or "us"), through which eligible individuals who have a valid Company Account and opt into the Program, may earn points ("Point(s)") that will be applied to Participant's Maison Miru rewards account ("Rewards Account") as set forth herein. Where applicable, participants may redeem their Points through Maison Miru's website located at www.maisonmiru.com (the "Website") or the Shop application, as described below in Section 7.

2. Eligibility and Participation in the Program

2.1. The Program is open to legal residents of the fifty (50) United States and the District of Columbia, Puerto Rico, and United States Virgin Islands who are at least eighteen (18) years of age or older, who provide and maintain a valid email address, and have a valid Company Account and Rewards Account ("Participant(s)"). AN ELIGIBLE MINOR SHOULD HAVE THEIR PARENT'S OR LEGAL GUARDIAN'S PERMISSION TO PARTICIPATE.

2.2. Participation in the Program requires both a Company Account (created Maison Miru's Shopify storefront) and a Rewards Account (created through a third-party rewards platform that integrates with Shopify). While your Rewards Account may appear within your Company Account experience, please note that it is technically a distinct account maintained through a separate service provider as further described below and is governed by these Loyalty Terms, in addition to the Company Terms.

2.3. Rewards Accounts are free to create and maintain. If you do not have a Rewards Account, visit https://www.maisonmiru.com/pages/the-stack and follow the instructions to create one.

NOTE: Your Rewards Account profile must include your first and last name and a valid email address. If your account does not meet this requirement, you may be suspended from the Program.

2.4. This Program is not targeted at children or intended for use by anyone under the age of 18. Employees of Maison Miru are not eligible to participate in the Program. No purchase is necessary to join the Program. The Program may not be used for any business or commercial purpose, and we may refuse to create an account for any reason.

2.5. Registration: Participants are enrolled in the Program when a Rewards Account is successfully created using the designated enrollment method (e.g., through Maison Miru's storefront or rewards partner interface). Continued participation in the Program constitutes each Participant's full and unconditional agreement to these Loyalty Terms (as amended from time to time) and a representation that the Participant meets all eligibility requirements. Only one (1) Rewards Account is permitted per individual and associated email address, regardless of whether multiple individuals share the same email address. The person who is the authorized email account holder of the address used to register the Rewards Account (and who meets all eligibility requirements) will be deemed the sole Participant associated with that account.

3. Participant's Personal Information

By enrolling in the Program, you consent to the collection, use, sharing, and retention of your personal information in accordance with our Privacy Policy and these Loyalty Terms.

To administer the Program, your personal information will be collected and processed by both Maison Miru and our loyalty program service provider, Okendo Pty Ltd ("Okendo"), which helps operate the Rewards Account infrastructure via its integration with Shopify. Okendo processes your personal information strictly on our behalf and in accordance with our instructions and is contractually prohibited from using your information for any other purpose.

We and Okendo may collect personal identifiers (such as name, email address), commercial information (such as purchases or redemptions), and loyalty program activity (such as point accruals and redemptions). This information is used to manage your participation in the Program, track and administer rewards, and communicate relevant offers.

State-Specific Privacy Rights

Residents of California, Virginia, Colorado, Connecticut, and Utah may have certain privacy rights under applicable state laws, including the right to:

  • Know what personal information we collect and how we use it,

  • Access and obtain a copy of your personal information,

  • Request correction of inaccurate information (where applicable),

  • Request deletion of your personal information,

  • Opt-out of the sale or sharing of personal information or targeted advertising (if applicable),

  • Appeal the denial of any of the above requests.

We do not sell your personal information in connection with the Program. However, we do use certain information for targeted advertising and may share data with advertising platforms for these purposes, as permitted by law. We do not use personal information for profiling in furtherance of decisions that produce legal or similarly significant effects, or for any other disallowed purpose under applicable law.

You may opt out of the use or sharing of your personal information for targeted advertising by following the instructions in our Do Not Sell or Share My Personal Information page or by enabling a recognized opt-out preference signal such as the Global Privacy Control (GPC) in your browser as described in our Privacy Policy.

Financial Incentive Disclosure - California

The Program may be considered a "financial incentive" under the California Consumer Privacy Act (CCPA) because it involves the collection of personal information in exchange for points, benefits, or rewards. For more information, including how the value of your data is determined and how to opt in or out, please review our Notice of Financial Incentive included in our Privacy Policy.

By accepting these Loyalty Terms and enrolling in the Program, Participants hereby agree to receive email messaging to the email address associated with their Company Account and/or push notification messages to their Maison Miru phone or tablet ("Mobile Device") from Maison Miru for promotional, information and/or other purposes. For information on how to manage notification settings for your Company Account, review Section 7 (Opting-Out) of our Privacy Policy.

As permitted by law, Participants may submit privacy rights in accordance with our Privacy policy. If Participants submit a request to delete their Rewards Account, all applicable data associated with the Rewards Account will be permanently deleted in accordance with applicable laws. Participants forfeit their Rewards Points and Maison Miru will not be able to provide any customer service related to any previous transactions associated with their Rewards Account once a deletion request has been submitted. If Participant elects to re-enroll in the Program after they have deleted their Rewards Account, they may do so but will start with a zero (0) Point balance.

4. Duration, Modification and Termination of the Program

Maison Miru reserves the right to suspend or modify the Program, at its discretion, at any time with or without notice. Termination, modification or suspension may affect a Participant's ability to earn Points or redeem accumulated Points. Participants can redeem Points as set forth in Section 7 below.

A Participant's continued participation in the Program constitutes their acceptance of any changes to these Loyalty Terms.

5. Earning Points

5.1. Maison Miru will offer Points with the purchase of products through the Website and the Shop App or taking certain other Program actions ("Eligible Actions"). Participants will earn Points as follows:

i. Participants must be logged into their Company Account at the time of purchase/during purchase check out. If Participant is not logged into their Company Account during purchase checkout, Participant forfeits the ability to request Points for that purchase at a later time. Subsequent purchases made while logged into the Company Account will earn points under these Loyalty Terms.

ii. Participant will receive Points based upon Eligible Spending. "Eligible Spending" refers to the total amount paid by a Participant for purchases of qualifying products or services made directly through Maison Miru's official website, or the Shop App, using the Participant's registered Company Account and Rewards Account, excluding the following:

a. Taxes, shipping fees, and handling charges

b. Gift card purchases or redemptions

c. Store credits, coupons, or promotional discounts

d. Returns, refunds, or canceled orders

e. Any purchases not made by the Participant using their own Rewards Account

f. Any purchases deemed ineligible by Maison Miru in its sole discretion

Eligible Spending is calculated on a net basis, meaning that any refunded or partially returned transactions will reduce the total cumulative amount used to determine Tier Status. The Loyalty Terms do not alter or expand warranty, returns or other terms applied to Products purchased.

iii. Points will be applied to Participant's Rewards Account once applicable return periods have lapsed after delivery date of purchased product or where applicable after chargebacks are complete. In addition, Points may not be applied to Participant's Rewards Account until fifteen (15) days after the close of the calendar month in which qualifying purchases were completed. 5.2. Tier Status: Participants may be eligible to receive additional Program benefits and earn Rewards Points at accelerated rates based on their Tier status. Tier status is determined by a Participant's Eligible Spending within a rolling 12-month period, calculated using the total amount of net Eligible Spending made through the Participant's Company Account. There are three (3) Tiers in the Program: Silver, Gold and Titanium.

Eligible purchases and other opportunities to achieve or maintain Tier status may be updated or modified at any time and will be published on the Website or through other communications.

5.3. Tier Qualification and Retention. A Participant's Tier status is determined based on their Eligible Spending within the most recent rolling 12-month period. There is no fixed Tier Term. Tier status may change at any time based on rolling 12-month spend performance.

This means that:

  • Participants are automatically upgraded as soon as their Eligible Spending meets the threshold for a higher Tier.

  • Participants are automatically downgraded if their 12-month rolling spend drops below the threshold required to retain their current Tier.

Example: How it works

A Participant spends $150 over the past 12 months in Eligible Spending. They qualify for the Gold Tier. If, at any time, their total Eligible Spending over the recent 12 months increases to $250 or more, they will be upgraded to Titanium Tier immediately. If Their 12-month Eligible Spending drops below $100, they will be downgraded to Silver Tier.

Tier Status can change at any time. It always reflects how much a Participant has spent in the past 12 months, counted backward from today.

6. Point Value, Forfeiture of Points, & Viewing Points

6.1. No Cash Value or Transferability. Points do not constitute property, do not entitle a Participant to a vested right or interest and have no cash value. As such, Points are not redeemable for cash, transferable or assignable for any reason. Accordingly, Points are not transferable (a) upon death, (b) as part of a domestic relations matter, (c) from separate Rewards Accounts held by one Participant, or (d) otherwise by operation of law. The sale or transfer of Points is strictly prohibited. Points may not be sold on any secondary market, and any transfer of Points to a secondary market shall be deemed void. Any Points remaining in a Participant's Rewards Account if the Program is canceled will be forfeited without compensation. There shall be no carry over or transfer of Points to other Maison Miru programs, unless otherwise determined by Maison Miru in its sole and absolute discretion.

6.2. Point Expiration. Rewards Points earned through the Program do not expire for as long as the Program remains active, unless otherwise stated by Maison Miru or required by law.

In the event the Program is terminated or materially modified, Maison Miru may provide advance notice regarding the expiration or redemption of any outstanding Points. Any changes to the expiration policy will be communicated in accordance with these Loyalty Terms or the Company Terms.

Participants are responsible for regularly reviewing their Rewards Account and redeeming Points in accordance with the Program rules. Points have no cash value, are non-transferable, and may not be exchanged for cash, unless expressly permitted by Maison Miru or required by law.

6.3. Accrued Points Viewable in Participant's Rewards Account. The number of Points collected by each Participant will be tracked in the Participant's Rewards Account. Points will be applied to Participant's Rewards Account after (i) transaction confirmation; (ii) the applicable return period has lapsed, and/or the applicable chargeback window has closed, and (iii) fifteen (15) days have passed since the end of the calendar month during which an applicable purchase was made. Accordingly, the issuance of Points can take up to sixty (60) days after the date of a qualifying purchase. Each Participant will have the responsibility of ensuring that their Points are properly applied to their Rewards Account. Any claim that Points are not reflected accurately in a Participant's Rewards Account should be directed to Maison Miru no later than seventy-five (75) days following a qualifying purchase. Maison Miru shall have no liability for any printing, production, typographical, mechanical or other errors in the Points summaries or Participant Rewards Account. Maison Miru reserves the right to invalidate Points from a Participant's Rewards Account if it determines that such Points were improperly applied or obtained fraudulently. Maison Miru reserves the right to require proof of accrual of Points and Maison Miru reserves the right to delay the processing or redemption of any Points without notice to Participants to assure compliance with these Loyalty Terms. Participants are responsible for maintaining the confidentiality of their Rewards Accounts and passwords and for restricting access to their devices and activity on their Rewards Account. Participant agrees to accept responsibility for all activities that occur under their Rewards Account. Without limiting any other remedies, Maison Miru may suspend or terminate a Participant's Reward Account if Maison Miru suspects that a Participant has engaged in fraudulent activity in connection with the Program. Participation in the Program is subject to these Loyalty Terms, as well as policies and procedures that Maison Miru may adopt or modify from time to time. Any failure to abide by these Loyalty Terms or any policies or procedures implemented by Maison Miru, any conduct detrimental to Maison Miru, or any misrepresentation or fraudulent activities in connection with the Program may result, in addition to any rights or remedies available to Maison Miru in law or equity, in the termination of participation in the Program, as well as forfeiture of Points accrued to date, all as determined by Maison Miru in its sole discretion.

7. Redeeming Points Earned

Points may be used to redeem certain discounts, benefits, or products through the Website or the Shop App at any time once Participants have accrued and have received Points in their Rewards Account. The total number of Points a Participant can use is the number of Points available in their Rewards Account.

Using Points to Purchase items on the Website and the Shop Company App: Points may be used to purchase, or reduce the purchase price for, products offered within the Website or the Shop App when Participant is logged into their Company Account. Points may not be used to reduce the purchase price of Maison Miru products when Financing is selected as the payment method. Subject to applicable law and availability, Points redemption may be limited or unavailable in certain states. See our FAQ or contact customer service for details.

The number of Points available to use for the purchase and its corresponding discount to purchase may be displayed during check out.

Upon completion of checkout, the Points will be deducted from Participant's Rewards Account. The deduction of Points is final and except as set forth below, Points will not be returned.

Point Deduction Exceptions:

  • Where return or cancellation of a purchase that included redeeming Points is permitted, Points will be returned to Participant upon cancellation or once Maison Miru confirms satisfactory return of the purchased product.

  • Where both cash and Points are used for a purchase or where multiple products are purchased but not all products are satisfactorily returned, the Points returned to Participant will be provided on a proportional basis.

8. General Terms and Conditions

8.1. Maison Miru reserves the right to suspend or discontinue the eligibility of any person who uses, or attempts to use, the Program in a manner inconsistent with these Loyalty Terms or any federal or state laws, statutes or ordinances. In addition to suspension or discontinuance of the Program eligibility, Maison Miru shall have the right to take appropriate administrative and/or legal action, including criminal prosecution, as it deems necessary in its sole discretion. Maison Miru reserves the right to terminate any Participant's Rewards Account, without notice, for any suspected abuse, fraud, misrepresentation, or violation of these Loyalty Terms or applicable law.

8.2. Any attempt by any person to undermine the legitimate operation of the Program may be a violation of criminal and civil law, and should such an attempt be made, Maison Miru reserves the right to seek damages from any such person to the fullest extent permitted by law. Maison Miru's failure to enforce any of these Loyalty Terms shall not constitute a waiver of this, or any other, provision.

8.3. Maison Miru provides the Program to individuals only. Corporations, associations, including school organizations, or other groups may not participate in the Program.

8.4. All questions or disputes regarding eligibility for the Program or a Participant's compliance with these Loyalty Terms will be resolved by Maison Miru in its sole discretion.

8.5. Maison Miru is not responsible for any incorrect or inaccurate information supplied by Participants while participating in the Program.

8.6. Participants are responsible for the payment of any and all taxes which may result from participation in the Program.

8.7. Participants are responsible for maintaining updated contact information associated with their Company Account and Rewards Account.

8.8. The Program is subject to all applicable laws and regulations. Void where prohibited.

9. Limitation of Liability

9.1. Maison Miru, and its parent, subsidiary, affiliate, franchisees, and related companies, and each of its and their respective officers, directors, employees, shareholders, agents and promotional and advertising agencies, successors, assigns (collectively the "Released Parties") are not responsible for any printing or computer error, omission, interruption, irregularity, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alteration of Program materials or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions of any kind, or inaccurate transmission of Program information due to technical problems or traffic congestion on the internet, at any web site or any combination thereof. In the event that the Website, the Shop Company App, the Pay App and/or the Program is temporarily corrupted or suspended, notice of such will be provided and Participants will be advised to (1) not redeem Points until such time that the Program, as originally intended, may be resumed and (2) that purchases completed during this time period will not generate Points for the Participant.

9.2. By participating in the Program, each Participant accepts all responsibility for, and hereby releases and agrees to indemnify and hold harmless Maison Miru and their respective parent companies, subsidiaries, affiliates, agents, promotion and advertising agencies, including, franchisees, and each of their respective officers, directors, employees, shareholders, and successors, assigns, and service providers from and against any claims, liabilities, damages, or expenses that may arise from actions taken by such Participant and/or Participant's participation in the Program, or for any harm or injury caused by any third party.

9.3. IN NO EVENT SHALL RELEASED PARTIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE DAMAGES OR LOST PROFITS, EVEN IF ANY OR ALL OF THE FOREGOING OR ANY OF THEIR AUTHORIZED REPRESENTATIVES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS MEANS THAT PARTICIPANT HEREBY WAIVES ANY AND ALL RIGHTS TO ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE DAMAGES OR LOST PROFITS FROM MAISON MIRU AND ITS LICENSORS. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, MAISON MIRU'S CUMULATIVE LIABILITY TO PARTICIPANT ARISING FROM ANY CAUSE OF ACTION WILL AT ALL TIMES BE LIMITED TO THE LESSER OF (A) YOUR ACTUAL LOSS; OR (B) $250.00. THE FOREGOING DISCLAIMERS, EXCLUSIONS AND LIMITATIONS SHALL APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EVEN IF ANY REMEDY FAILS ITS ESSENTIAL PURPOSE.

10. Dispute Resolution; Arbitration; Class Action and Jury Trial Waiver

These Loyalty Terms are governed by and incorporate by reference the Company Terms. By participating in the Loyalty Program, you agree that any Disputes arising out of or related to your participation in the Program will be subject to the dispute resolution procedures set forth in the Company Terms, including mandatory binding arbitration, a waiver of your right to a jury trial, and a waiver of your right to participate in any class action or representative proceeding.

If you do not agree to be bound by those dispute resolution provisions, you may not participate in the Loyalty Program.

All issues and questions concerning the construction, validity, interpretation and enforceability of these Loyalty Terms, Participant's rights and obligations, or the rights and obligations of Maison Miru in connection with the Program, shall be governed by, and construed in accordance with, the laws of the State of New York, without giving effect to any choice of law or conflict of law rules (whether of the State of New York or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than State of New York, except as preempted by the Federal Arbitration Act (FAA), which shall govern the enforceability of the arbitration provisions in the Company Terms.

If any provision of these Loyalty Terms is found to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be severed from the remainder of these Loyalty Terms, which will otherwise remain in full force and effect.
